These Terms of Use are a legally binding contract between PayHelpa (the owners of the PayHelpa mobile app and website, the "Company" or "We" or "Us") and every entity or user accessing, or visiting the PayHelpa website (the "Site") or PayHelpa mobile app (the "App"), or registering for our services via any other means with or without a PayHelpa account (collectively referred to as "PayHelpa"). These terms, as well as any other terms or policies expressly incorporated by reference, govern your access to and use of the Platform.

These Terms and our Privacy Policy govern your use of and access to the Services at all times. Please take the time to read these Terms as well as our Privacy Policy. You represent that you have read and understood these Terms and our Privacy Policy and that you agree to be bound by these Terms and our Privacy Policy by using or using the Services. Eligibility

To access the Platform's services, you must be at least 18 years old and either African or Non-African. By agreeing to these terms, you represent and warrant that you are at least 18 years old and fully capable of entering into and abiding by the contract created by these Terms.

Risks

Currency transactions carry a high level of risk. On any given day, prices can and do change. Any currency can experience big price swings and possibly become worthless. When buying, selling, or trading anything in the currency market, there is always the danger of losing money.

Right Of Use

All materials on this Site are the property of PayHelpa unless otherwise stated, and are protected by copyright, trademark, and other relevant laws. You may read, print, and/or download a copy of the materials from this Site on a single computer for your personal, non-commercial use, as long as all copyright and other proprietary notices are preserved.

PayHelpa's trademarks, service marks, and logos (collectively, "Trademarks'') are owned by PayHelpa and their respective owners. PayHelpa owns the software, content, photos, graphics, data, prices, trades, charts, graphs, video, and audio that appear on this Site. In any form or by any means, whether manual or automated, the Trademarks and Material should not be copied, reproduced, modified, reprinted, uploaded, transmitted, collected, or disseminated. It is expressly prohibited to utilize such Materials on any other Site or networked computer environment for any purpose; such unauthorized use may violate copyright and other relevant laws and may result in criminal or civil penalties.

Rules Guiding Your Account

This website is solely for your personal use. The security of our Site and Service is a top priority for us. By enrolling with PayHelpa, you undertake to give current, accurate, and complete information about yourself as requested by the registration process, and to keep that information current. You also agree that you will not use another member's account, access another member's account at any time, or help others in gaining unauthorized access.

Without prior express consent from PayHelpa, the creation or use of Accounts will result in the suspension of all said Accounts, as well as all pending purchase/sale offers. Any attempt to do so or to assist others (whether Members or not), as well as the dissemination of instructions, software, or tools for that purpose, will result in the termination of such Members' accounts. For such a violation, termination is not the only option, and PayHelpa may choose to take additional action against You.

You also are responsible for the security of your Account details, including your password, as well as all activity, including transactions submitted to your Account. We may, but are not bound, to request additional information from you, including authenticating documents, and to freeze any transactions pending our assessment if there is suspicious activity relating to your Account. You must comply with these security requests or risk having your account terminated. Any unauthorized use of your Account or password, or any other breach of security, must be reported to PayHelpa immediately by email to info@payhelpa.com. Any Member who breaks these rules risks being terminated and held liable for any losses incurred by PayHelpa or any other user of the Site.

Finally, You agree not to use the Service for any type of criminal conduct, including but not limited to money laundering, terrorist financing, or malicious hacking. All criminal acts shall be reported to law enforcement officials.

Termination

You may terminate this agreement with PayHelpa and close your account at any time after all pending transactions have been settled.

You also agree that PayHelpa may, in its sole discretion, terminate your access to the Site and your account by giving notice, including, without limitation, our right to limit, suspend, or terminate the service and members' accounts; prohibit access to the Site and its content, services, and tools; delay or remove hosted content, and take technical and legal steps to keep members off the Site if we believe they are causing problems or posing legal liabilities. Furthermore, in appropriate situations and at our discretion, we may suspend or terminate members' accounts for any cause, including, but not limited to:

• Attempting to gain unauthorized access to the Site or another member's account, or assisting others who are attempting to do so.
• Getting past software security mechanisms that limit or protect contents.
• Use of the Service for illegal purposes such as money laundering, terrorism financing, or other criminal activity is prohibited.
• Violations of these Terms of Use are prohibited.
• Fraudulent transaction payments or failure to make due payments.
• If PayHelpa, acting in its sole discretion, considers a request from law enforcement or other government agencies to be genuine and compelling, it will comply.
• Use any tools or software to hide your identity or engage in unusual or ambiguous actions.
• Share personal contact with other users in transaction chats.
• Deliberately transmit data or upload any contents that contain viruses or other harmful programs in other to affect the operation of any computer software or hardware

We also reserve the right to cancel unconfirmed accounts or accounts that have been inactive for 6 months or more, and/or change or discontinue our Site or Service, as well as to request verification of information in order to continue using the Service. Members agree that if their account or access to the Site is terminated, PayHelpa will not be liable to them or any third party.

​​​​The payment of commissions owed for previous transactions will not be affected by the suspension of an account. Members must provide a valid bank account upon termination to allow for the transfer of any currency credited to their account. The member is also responsible for this bank account.

Registration

To use the Platform's services, you must first create an account and create a profile by selecting a username and password, as well as provide other important information such as your email address and information about your financial situation and risk preferences (collectively, "Client Information"). We have the right to limit access to specific portions of the Platform to these registered users.

You guarantee that any information you submit on the platform is correct and that we can rely on it. Before we accept your registration, you must contact us if any of the information you provided changes. If any of the information you have provided to us is inaccurate, and we are harmed as a result, you agree to compensate us.

You must keep your Client Information genuine, accurate, current, and complete by maintaining and updating it. We retain the right to terminate your account and deny any future use of the Platform if you give any information that is untrue, inaccurate, not current, or incomplete, or if we have reasonable grounds to suspect that you have provided such information.

Our Privacy Policies incorporated herein by this reference sets out measures put in place to protect your information and your privacy in relation to your use of our Platform. You shall be responsible, however, for maintaining the confidentiality of your username and password and also ensuring that you exit from your account at the end of each session. Please notify us immediately of any unauthorized use of your username, password, or account. We will not be responsible for any losses arising out of the unauthorized use of your account and you agree to indemnify and hold harmless the Company and its managing members, officers, equity holders, employees, partners, parents, subsidiaries, agents, affiliates, and licensors (collectively, "Affiliates"), as applicable, for any improper, unauthorized or illegal uses of your account and as otherwise set forth in these Terms. We shall impose all registrations to statutorily prescribed “Know Your Customer” procedures.

We will make every effort to offer the Service to you as quickly as possible, but we cannot promise that access will not be interrupted, or that there will be no delays, interruptions, errors, omissions, or loss of sent information.

PayHelpa is not responsible for the availability of third-party sites or the content they provide. Before using other Sites, you should consider their rules about privacy and other matters. PayHelpa is not responsible for third-party information accessible through the Site, such as opinions, advice, statements, prices, activities, and advertisements, and you face all risks associated with their use. It is your responsibility to ensure that everything you choose for your usage is free of viruses, worms, Trojan horses, and other potentially harmful software.

Financial Advice

For the avoidance of dispute, in connection with the Services contemplated by these Terms of Use, we do not give any investment advice. We may provide information on the price, range, and volatility of foreign currencies, as well as events that have influenced the price of currencies, but this is not intended to be taken as investment advice. Any decision to buy or sell currencies is solely your responsibility, and We will not be held liable for any losses incurred.

Financial Regulation

Through a decentralized cross-border payment system, our business model and Service facilitate the exchange of services and provide quick access to foreign currency for the purchase/exchange of goods.

Liability Limitations

​​PayHelpa shall not be held accountable for any damages, loss of profit, loss of revenue, loss of business, loss of opportunity, loss of data, indirect or consequential loss unless the loss was caused by negligence, willful deception, or fraud to the degree permitted by law. Nothing in these terms limits or excludes each party's liability for fraud, death, or personal damage caused by its carelessness, violation of implied conditions, or any other liability that cannot be restricted or eliminated by law.

Subject to the foregoing, PayHelpa's total liability in respect of claims arising out of or in connection with any single member's use of the Site and/or Service, whether in contract, tort (including negligence), or otherwise, shall in no event exceed the greater of (a) the total amount held on account for the member making a claim less any amount of commission that may be due and payable in respect of such account; or (b) the total amount of the transaction(s) that are the subject of the claim less any amount of Commission that may be due and payable in respect of such transaction(s).

Indemnity

To a full extent permitted by law, you agree to hold PayHelpa and its partners harmless from any action, liability, cost, claim, loss, damage, proceeding, or expense suffered or incurred as a result of your use of the PayHelpa site or software application, your use of the Service, or your violation of these Terms of Use, whether direct or indirect.

Modification Of Terms

PayHelpa reserves the right, in its sole discretion, to amend, add, or remove portions of these Terms at any time. Any changes will be communicated to you in advance via your account. It is your duty to evaluate the updated Terms following such notification. Following the publishing of a notice of changes to the Terms, your continuing use of the Site implies that you accept and agree to the changes and that all subsequent transactions will be subject to the modified Terms.

Governing Law

This Terms of use and any dispute or claim arising out of or in connection with it (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria in force from time to time.
